Freedom Solar Power Sweepstakes

Official Rules

Purpose. These Freedom Solar Power Sweepstakes Official Rules (the “Rules”), together with any additional terms included in any associated advertisement, handout, or posting provided to potential entrants (if any, the “Additional Rules”), govern the Freedom Solar Power Sweepstakes (the “Giveaway”). In the event of any conflict between these various terms, the Giveaway will be governed in accordance with the following order of precedence: first, the Additional Rules; and, second, these Rules.

By entering the Giveaway, you fully and unconditionally agree to be bound by these Rules and any Additional Rules, and represent that you satisfy all eligibility requirements for the Giveaway.

Sponsor. The Giveaway is sponsored by Freedom Solar LLC (“Freedom Solar”, “us”, “our”, or “we”). The Giveaway is not sponsored or administered by any other company (including, without limitation, Instagram, Facebook, YouTube, TikTok, or any other social media platform (each, a “Social Media Platform”), which are not associated with and do not endorse the Giveaway). By entering the Giveaway, you agree to release all Social Media Platforms on which the Giveaway appears of any obligation, expectation, claim, or liability of any kind in connection with your Entry (as defined below) or the Giveaway.

Binding Agreement. As described above, to enter or participate in the Giveaway and potentially receive a prize, you must fully and unconditionally agree to be bound by these Rules and the Additional Rules. By entering the Giveaway, you represent that you have read these Rules and the Additional Rules prior to your Entry and that you fully and unconditionally understand and agree to them.

Eligibility. To be eligible to enter the Giveaway, you must be an individual, natural person not acting on behalf of or at the behest of any entity or business, at least eighteen (18) years old,  and a legal resident that owns a home that is, in our sole discretion, appropriate for a solar installation in the states of Texas or Florida. Employees, officers, and directors of Freedom Solar or any Social Media Platform on which the appears (including any of their respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising, promotional, public relations, and fulfillment agencies, consultants, legal counsel, website providers, and web masters), and their immediate family members (i.e., parents, children, spouses or partners, grandparents, grandchildren, aunts, uncles, nieces, or nephews), are not eligible to enter the Giveaway or win a prize. Individuals who participate in the Giveaway but are not eligible for these reasons or for any reason under statutory or common law or any rule or regulation shall have any award canceled, and they must, at Freedom Solar’s discretion, return any prize mistakenly delivered to them.

How to Enter. Participation in the Giveaway is voluntary and does not require you to purchase anything from Freedom Solar. You can enter the Giveaway in one or both of the following ways:

  1. Provide Telephone Consumer Protection Act (TCPA)-compliant consent via www.freedomsolarpower.com/sweepstakes (the “Giveaway Website”) to receive telephone, email, and text message communications from Freedom Solar. This will result in one entry. You are limited to one entry using this method.
  2. Send a 3” by 5” card containing your handwritten name, email address, and phone number to Freedom Solar at Freedom Solar LLC, 4801 Freidrich Ln, Suite 100, Austin, TX 78744, Attn: Director of Brand Marketing, with the phrase “Freedom Solar  Power Sweepstakes” and the date handwritten on the card. A properly filled-out and mailed card received by Freedom Solar during the Giveaway Period (as defined below) will result in one entry. You are limited to one entry using this method. Mechanically reproduced entries are not allowed and will be discarded. Cards received before or after the Giveaway Period will be discarded and not entered into the Giveaway. 

All entries must be completed (and, if applicable, received) during the Giveaway Period. Any entries completed (and, if applicable, received) before or after the Giveaway Period will not be entered into the Giveaway. 

PARTICIPATION IN THE GIVEAWAY IS VOLUNTARY AND NO PURCHASE IS NECESSARY TO ENTER OR WIN A PRIZE PACKAGE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Giveaway Period. The Giveaway begins at 12:00 a.m., Central Time, on Tuesday, December 3, 2024 and ends at 11:59 p.m., Central Time, on Sunday, January 26, 2025(the “Giveaway Period”). The official time for the Giveaway Period shall be determined by Freedom Solar’s computer systems. All dates are subject to change.

All Entries must be received during the Giveaway Period and comply with all other requirements in these Rules and the Additional Rules to be eligible to win the prize. Any Entries received before or after the Giveaway Period will not be entered into the Giveaway.

Selection and Notification of Winner. Following the Giveaway Period, one entry will be randomly selected as a potential winner from entries that fully comply with these Rules. The potential winner will be notified by Freedom Solar via e-mail, during the week of February 3 to 7, 2025. The potential winner is subject to validation and verification of eligibility and compliance with these Rules, and may be required, at Freedom Solar’s discretion, to undergo a solar system site assessment and qualification process, and provide additional information and to sign and return a liability release, a publicity release, tax-related documents, and/or Freedom Solar’s standard form of solar installation agreement as a condition to being selected as a winner. The potential winner must respond to the email notification and provide all requested information and signed documents within 48 hours after the email notification is delivered. If the potential winner does not respond with the requested information and signed documents within 48 hours after the email notification is delivered, the potential winner may be disqualified, and Freedom Solar may, but is not obligated to, select another potential winner using the method above. The first potential winner who meets these and the other requirements set forth in these Rules, in Freedom Solar’s sole discretion, will be determined by Freedom Solar to be the winner (“Winner”). EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY FREEDOM SOLAR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE GIVEAWAY. AN ENTRANT IS NOT A WINNER UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED, THE ENTRANT’S HOME IS DETERMINED BY FREEDOM SOLAR TO BE ELIGIBLE FOR A SOLAR INSTALLATION, AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE AND NO FURTHER ACTION IS NEEDED.

Winner Announcement. Upon written request directed to the Freedom Solar’s Marketing Department at [email protected] , the abbreviated name (first name and last initial) of the Winner will be available for 90 days after the end of the Giveaway Period.

Prize Package. Subject to these Rules, and the Winner’s execution of Freedom Solar’s standard solar installation agreement, the Winner will receive the following prize package (a “prize package”) that includes:

Subject to verification of roof that can support solar system, a solar system of up to 22 Maxeon-manufactured SPR-M425-H-AC panels (dependent on roof and design requirements) and associated equipment and labor$28,907 value
Subject to verification of roof that can support solar system, a Tesla Powerwall 3, plus Gateway, and associated equipment and labor$16,500 value

No transfer, substitution, or cash equivalent for prizes is allowed, except in Freedom Solar’s sole discretion. The prize package shall be awarded “as is” and “without warranty of any kind,” express or implied (including any implied warranty of merchantability or fitness for a particular purpose).

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, If the Winner’s home is determined, in Freedom Solar’s sole discretion, AT ANY TIMe PRIOR TO INSTALLATION, not to be appropriate for a solar system installation, the Winner will be paid a prize of $10,000 in cash.

Odds of Winning. Odds of winning the Giveaway will depend on the number of entries received during the Giveaway Period.

Taxes. The U.S. Internal Revenue Service requires that a Form 1099-MISC be issued and filed for the Winner because the prize package has a value equal to or greater than $600 (the “Form 1099 Threshold”). Following the selection and notification of the Winner, Freedom Solar will collect a completed Form W9 from the Winner. If a Winner fails to complete and return a Form W-9 to Freedom Solar within a reasonable period of time, the Winner shall forfeit any and all rights to receive the prize package. Following the completion of the applicable tax year, Freedom Solar will deliver a copy of Form 1099-MISC to the Winner, which shall reflect the individual fair market value of the prize package. For the avoidance of doubt, the Winner is solely responsible for all federal, state, and local taxes associated with the Winner’s receipt and use of the prize package.

General Conditions. All federal, state, and local laws and regulations apply to the Giveaway and the Giveaway is void where prohibited by law. Freedom Solar reserves the right to disqualify any entry from the Giveaway if, in Freedom Solar’s sole discretion, it reasonably believes that the entry was or resulted from an attempt to undermine the legitimate operation of the Giveaway by fraud, cheating, deception, or other unfair practices, or the entrant annoys, abuses, threatens, or harasses any other entrants or Freedom Solar. Entries using automated means of any kind are prohibited.

Privacy. You agree that personal data submitted with an entry to participate in the Giveaway (including, without limitation, name, e-mail address, phone number, and physical address) may be collected, processed, stored, and otherwise used by Freedom Solar and its affiliates for the purposes of conducting and administering the Giveaway. You also agree that any personal data submitted by you in connection with an entry may be used in connection with Freedom Solar’s promotional, marketing, and advertising purposes. Without limitation, Freedom Solar may from time to time use your personal information to send you updates about itself and its products and services, as well as promotional materials. By entering the Giveaway and accepting the applicable terms, you fully and unconditionally agree to the terms of Freedom Solar’s privacy policy, which can be found at the following link: https://freedomsolarpower.com/privacy-policy. 

License to Use Name, Image, Likeness, and Photos of Home. To the fullest extent permitted by applicable law, the Winner grants Freedom Solar the right and perpetual, irrevocable, royalty-free, worldwide, and nonexclusive license to use and/or repost your name, city, state, aural and visual likeness, and prize information, as well as any of your images, videos, and/or audio recordings taken by Freedom Solar of you or your home with the prize package installed, for advertising, marketing, promotional, and educational purposes, without limitation and without further permission or compensation (including, at Freedom Solar’s discretion, in a public-facing Winner(s) list). By entering the Giveaway, you consent to being contacted by Freedom Solar for any purpose in connection with the Giveaway and to participate in a video testimonial for use by Freedom Solar for the purposes describe above.

Release, Indemnification, and Acknowledgement of Disclaimer of Warranties. By entering the Giveaway, and to the maximum extent permitted by law, you agree to release, defend, indemnify and hold harmless Freedom Solar, each of Freedom Solar’s subsidiaries, affiliates, distributors, and suppliers, and their respective employees, officers, directors, agents, and representatives (the “Released Parties”) from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, fines, costs, and/or expenses (including, without limitation, reasonable attorney fees) arising out of or relating to: (i) any misrepresentation you make in connection with the Giveaway; (ii) any non-compliance by you with these Rules; (iii) claims brought by persons or entities other than the parties to these Rules arising from or related to your or other entrants’ entry into or involvement with the Giveaway; (iv) acceptance, possession, misuse, or use of any prize or participation in any Giveaway-related activity or participation in the Giveaway; (v) any malfunction or other problem with Instagram, Facebook, or Freedom Solar’s e-mail or computer systems in relation to the entry and participation in the Giveaway by you; (vi) any error in the collection, processing, or retention of entry in relation to the entry and participation in the Giveaway by you; or (vii) any typographical or other error in the printing, offering, or announcement of any prize or winner in relation to your entry and participation in the Giveaway.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FREEDOM SOLAR DISCLAIMS LIABILITY FOR, AND IN NO EVENT WILL FREEDOM SOLAR BE LIABLE FOR, ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF, OR IN ANY WAY CONNECTED TO, YOUR PARTICIPATION IN THE GIVEAWAY OR USE OR INABILITY TO USE ANY PRIZE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES (JOINTLY) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE GIVEAWAY, OR YOUR USE OF OR INABILITY TO USE ANY PRIZE, EXCEED $10. SUBJECT TO ANY LIMITATIONS SET FORTH IN FREEDOM SOLAR’S STANDARD FORM OF SOLAR INSTALLATION AGREEMENT, WHICH YOU ARE REQUIRED TO SIGN TO RECEIVE THE PRIZE PACKAGE, THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT EXCLUDE OR LIMIT LIABILITY FOR THE RELEASED PARTIES’ GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR FRAUD.

Forum, Choice of Law, and Recourse to Judicial Procedures. These Rules shall be governed by, subject to, and construed in accordance with the laws of the State of Texas (without regard to its choice of law provisions). You acknowledge and agree that any action relating to or arising from these Rules or the Giveaway shall be commenced and conducted only in a federal or state court with subject matter jurisdiction in Travis County, Texas. You hereby waive any personal jurisdiction challenges and waive any arguments based on forum non conveniens.

Miscellaneous. Entrants agree to be bound by these Rules and by the decisions of Freedom Solar, which are final and binding in all respects. Freedom Solar reserves the right, in its discretion and without prior notice, to suspend or cancel the Giveaway or alter these Rules for any reason, including but not limited to alteration or corruption of the administration of the Giveaway by computer virus, technical problem, or other unexpected or unforeseeable event. Freedom Solar reserves the right to change these Rules at any time, in its discretion, and to modify, suspend or cancel the Giveaway or any entrant’s participation in the Giveaway should viruses, bugs, unauthorized human intervention, pandemics, public disruptions, or other causes beyond Freedom Solar’s reasonable control affect the administration, security, or proper play of the Giveaway, or Freedom Solar otherwise becomes (in its discretion) incapable of running the Giveaway as planned. Entrants who violate these Rules, violate any law, rule, or regulation in connection with participation in the Giveaway, tamper with the operation of the Giveaway or engage in any conduct that is detrimental or unfair to Freedom Solar, the Giveaway, or any other entrant (as determined in Freedom Solar’s discretion) are subject to disqualification from the Giveaway. Freedom Solar reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Giveaway. Freedom Solar reserves the right to disqualify any Entries received that contain inappropriate or offensive content. Freedom Solar’s failure to enforce any term of these Rules will not constitute a waiver of that provision. Any provision of these Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Rules will remain in effect. The use of the terms “include” or “including” in these Rules is illustrative and not limiting.

If any provision(s) of these Rules is held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. The party prevailing in any suit seeking the interpretation or enforcement of any provision of these Rules shall recover its reasonable attorneys’ fees incurred.

BY PARTICIPATING IN THE GIVEAWAY, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE RULES AND ANY ADDITIONAL RULES, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
